ORGANISATIONAL MODEL PURSUANT TO LEGISLATIVE DECREE 231/2001
HEALTION Srl Benefit Company has adopted an Organisation, Management and Control Model pursuant to Legislative Decree 231/2001, in line with industry best practices, in order to ensure fairness and transparency in corporate management.
Legislative Decree No. 231 of June 8, 2001 introduced the administrative liability of entities for certain offences committed, in the interest or to the benefit of the company, by directors, executives, employees or third parties.
The Model adopted by HEALTION is aimed at:
- identifying and assessing corporate risks
- defining rules, procedures and controls
- preventing the commission of offences
- ensuring responsible management in compliance with applicable regulations
Supervisory Body (OdV)
To ensure effective oversight of the Model’s implementation and compliance, a collegiate Supervisory Body (Organismo di Vigilanza – OdV) has been established.
The OdV:
- monitors the effectiveness of the Model
- receives and analyses reports
- reports periodically to Company Management
- proposes updates or improvements to the Model
CODE OF ETHICS
The Code of Ethics of HEALTION Srl Benefit Company sets out the principles and values guiding the Company’s activities and defines the standards of conduct to be adopted in compliance with the law, based on:
- legality
- transparency
- fairness
- responsibility
- protection and respect for individuals
We believe that pursuing ethical business practices is a fundamental added value to ensure reliability, reputation and quality in our operations.
The Code of Ethics therefore represents an essential reference for all parties involved in the Company’s activities, who are required to align their actions and conduct with its principles.
REPORTING SYSTEMS FOR VIOLATIONS: Whistleblowing
HEALTION Srl Benefit Company has implemented an internal reporting system (Whistleblowing) in compliance with Legislative Decree 24/2023, protecting individuals who report breaches of European Union law or national legislation.
The system allows for secure and confidential reporting of acts or situations that may constitute:
- violations of Legislative Decree 231/2001
- breaches of the Organisational Model
- breaches of the Code of Ethics
- conduct that may harm the interests or integrity of the Company
Reports are managed by the Supervisory Body, which ensures the confidentiality of the reporting party’s identity and protection against any form of retaliation or discrimination.
How to Submit a Report
Reports may be submitted:
- In written form
- via a paper report deposited in the company’s physical mailbox
- by email to the dedicated address: odv231@healtiongroup.com
- by registered mail to the legal address of Probios

- In oral form
- via telephone call
- upon request, through a direct meeting with the OdVV
